Email to employees of Philips’ Peripheral Vascular Division, dated June 28, 2017.

PV team,

I wanted to briefly follow up on the emails that you received earlier today from Bert and Chris[share.philips.com] to share my excitement about today’s news for our team. The announcement of our intention to acquire Spectranetics marks a key accomplishment for our peripheral vascular division. Last year, when we created our dedicated PV business unit, Philips signaled its commitment to being a leader in this space, and this acquisition is a huge step forward in executing that strategy.

Building on our leadership in the IVUS market, Volcano began expanding into therapy devices with the acquisition of AtheroMed (Phoenix atherectomy device) in 2014. IGT then affirmed its commitment to the PV space by investing significantly in our dedicated sales channel, and your delivery of exponential sales growth has helped set the stage for this significant next step. Today’s acquisition of Spectranetics solidifies Philips’ future position in the PV space, building on our leadership in peripheral IVUS and our rapidly growing position in atherectomy.

Spectranetics will add three key solutions to our portfolio:

Laser atherectomy, which will give us a market leadership position in atherectomy by complementing Phoenix with clinical versatility, expanded indications for use, and increased pricing flexibility

Stellarex drug-coated balloon (DCB), which has clinical data pointing to a best-in-class technology in a critical space (awaiting FDA approval)

Angiosculpt scoring balloon, which will create additional bundling opportunities for IVUS pull-through

While all three devices will be important contributors to the peripheral vascular portfolio, Stellarex is the critical technology for us in this acquisition given the size and rapid growth of the DCB market. According to analyst estimates, the DCB market could exceed $1 billion within the next five to seven years. Entering this space with a best-in-class product quickly became a key area of interest for Philips.

DCB’s combine the mechanical dilatation of a balloon catheter with the biological effect of an anti-restenosis drug to open stenosed arteries and help reduce the ability for blockages to return. These devices have been available for several years in Europe and were recently approved for use in the United States. Since their introduction to the market, DCB’s have quickly become a standard of care. Their adoption in the U.S. has been rapidly increasing, and CMS (Centers for Medicare and Medicaid Services) has granted additional hospital reimbursement for these devices.

This is an exciting advancement for our business, our customers, and, most importantly, our patients. Currently, we project that this agreement will close at some point in Q3 this year, so, until that time, let’s continue to remain focused on our original plans and finish up Q2 in a strong fashion. 2017 has been a record-breaking year for our PV team already, and I cannot wait to see what we will do when we bring these two great teams and product portfolios together! As one, we will be poised for even bigger and better things!

Will Martin
