Explanation of Responses:
This amendment is being filed to correct an error in the ownership form of the 
10,000 shares of Series A Preferred Stock purchased on March 3, 
1998.  These shares were purchase by Telcom Partners, L.P., a limited 
partnerhsip of which Mr. James Pinto is the sole general partner.
*  $100,000 was paid in the aggregate for the purchase of the 10,000 shares of 
the Series A Preferred Stock and the 10,000 Warrants
