Item 3.02 Unregistered Sales of Equity Securities.
On November 8, 2017, in connection with the closing of its previously-announced rights offering, Vicon Industries, Inc. (the “Company”) issued 7,500,000 shares of its common stock to NIL Funding Corporation for an aggregate purchase price of $3.0 million, pursuant to the Investment Agreement, dated as of July 27, 2017, between the Company and NIL Funding. The sale of such shares was made in reliance on the exemption from registration under Section 4(a)(2) of the Securities Act of 1933, as amended.
Item 7.01. Regulation FD Disclosure.
On November 7, 2017, the Company completed its rights offering and, in connection therewith, issued 704,235 shares of common stock to the rights offering participants, raising gross proceeds of approximately $282,000.
