On August 29, 2014, the Company merged with IQinVision, Inc. Due to the additional accounting and disclosures required pursuant to this business combination, the Registrant is unable to file its Form 10-K within the prescribed time period.

The Company plans to report a net loss of $7,925,412 for its fiscal year ended September 30, 2014 as compared to net income of $18,648 for its prior fiscal year ended September 30, 2013. The 2014 fiscal year results included $1.1 million of merger related expense and $520,000 of restructuring charges while the 2013 fiscal year results included a $3.5 million gain on the sale of property.
