On January 14, 2014, The Wendy’s Company, a Delaware corporation (“Wendy’s”), issued a press release stating that it is commencing a modified “Dutch auction” tender offer to repurchase shares of its common stock for an aggregate purchase price of up to $275.0 million. A copy of the press release is included as Exhibit 99.1 to this Schedule TO.
