Explanation of Responses: (1) All such shares are held by Madison West Associates Corp. ("Madison West"), a wholly-owned subsidiary of Triarc Companies, Inc. ("Triarc"). (2) The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose. (3) Warrants to purchase up to 100,000 shares of Common Stock of the Issuer were granted to Triarc in January 2000 in consideration for Triarc providing a guaranty of certain indebtedness of the Issuer. (4) Represents proportionate amount of warrants to purchase Common Stock of the Issuer that were granted to CTW Funding, LLC ("CTW"). Madison West is a member and holds an 8.729% interest in CTW.
