                 Registrant is currently negotiating with its lenders to amend
        and waive certain noncompliance provisions in its loan agreement.
        Accordingly, the Registrant is still in the process of finalizing its
        financial information and is unable to file its Form 10-K for the period
        ended December 31, 1999 within the prescribed time period without
        unreasonable effort and expense.
