Item 5.07

Submission of Matters to a Vote of Security Holders.

On February 23, 2022, R. R. Donnelley & Sons Company, a Delaware corporation (the “Company”), held a special meeting of stockholders (the “Special Meeting”) to vote on the proposals described in the Company’s definitive proxy statement dated and filed with the U.S. Securities and Exchange Commission (the “SEC”) on January 21, 2022 and first mailed to the Company’s stockholders on or about the date thereof. A total of 75,212,238 shares of the Company’s common stock were issued and outstanding and entitled to vote as of the close of business on January 18, 2022, the record date for the Special Meeting. Approximately 54,939,332 shares of the Company’s common stock issued and outstanding were present or represented by proxy at the Special Meeting, representing approximately 73.05% of those shares entitled to vote, which constituted a quorum.

As previously disclosed, on December 14, 2021, the Company entered into an Agreement and Plan of Merger, by and among Chatham Delta Parent, Inc. (“Parent”), Chatham Delta Acquisition Sub, Inc., a direct, wholly owned subsidiary of Parent (“Acquisition Sub”), and the Company (as it may be amended from time to time, the “Merger Agreement”). The Merger Agreement provides for, among other things, the merger of Acquisition Sub with and into the Company upon the terms and subject to the conditions of the Merger Agreement (the “Merger”), with the Company surviving the Merger as a direct or indirect wholly owned subsidiary of Parent.

Each of the proposals upon which the Company’s stockholders voted at the Special Meeting, and the final, certified results reported by Broadridge Financial Services, the Company’s independent inspector of elections, are set forth below.
