(b) On February 22, 2008, Norman Wesley gave the Board of Directors of R.R. Donnelley & Sons Company notice that he will not stand for re-election to the Board of Directors at the the next annual election of directors.

(d) On February 22, 2008, the Board of Directors elected Lee Chaden to the Board of Directors effective April 2, 2008, to serve until the next annual election of directors. Mr. Chaden was also appointed to serve as a member of the Audit Committee of the Board effective April 2, 2008.

There is no arrangement or understanding under which Mr. Chaden was appointed other than as described in this Item 5.02(d). There are no transactions involving Mr. Chaden requiring disclosure under Item 404(a) of Regulation S-K.
