        On July 25, 2008, Donaldson Company, Inc. (the “Company”) announced that the Company’s Board of Directors declared a regular cash dividend of 11 cents per share, payable September 12, 2008 to shareholders of record as of August 22, 2008. As of June 30, 2008, there were approximately 78,100,000 shares outstanding. The current declaration is the 212^th consecutive quarterly cash dividend paid by Donaldson over a time span of 53 years.

MINNEAPOLIS, July 25, 2008-- Donaldson Company, Inc.
