Comerica Prices $800 Million Common Stock Offering

Positions Comerica to Redeem TARP Preferred Shares

DALLAS/March 9, 2010 – Comerica Incorporated today announced that it priced an $800 million offering of 22,857,143 shares of its common stock at $35.00 per share. The underwriters will have a 30-day option to purchase up to an additional 2,285,715 shares of common stock from the company to cover over-allotments, if any. The closing is expected to occur on or about March 12, 2010.

Subject to consultation with its banking regulators, Comerica intends to notify the U.S. Department of the Treasury of its intention to redeem all 2,250,000 shares of its Series F, Fixed Rate Cumulative Perpetual Preferred Stock, as issued to the Treasury under its Capital Purchase Program. If permitted to do so, Comerica intends to fund a portion of any such redemption with the proceeds of this offering.

J.P. Morgan Securities Inc. served as sole book-running manager for the common stock offering.
