2. Stock Rights available one for every three common shares originally subscribed for each right may be purchased at the rate of 1/7 per year beginning August 1, 2012 and will expire on August 1, 2019.
3. Each unit of phantom stock is the economic equivalent of one share of common stock. These units of phantom stock become payable, in cash, upon the reporting person's termination of service as a director.
