Item 8.01
Other Events.
As previously reported in the Current Report on Form 8-K filed May 15, 2019, a subsidiary of Federal Signal Corporation (the “Company”) entered into a definitive agreement (the “Agreement”) to acquire substantially all of the assets and operations of Mark Rite Lines Equipment Company, Inc., a U.S. manufacturer of truck-mounted and ride-on road-marking equipment, including its wholly-owned subsidiary HighMark Traffic Services, Inc. (the “Acquisition”). On July 1, 2019, the Acquisition closed pursuant to the terms and conditions of the Agreement.
A copy of the press release issued by the Company in relation to the closing of the Acquisition is furnished herewith as Exhibit 99.1 and incorporated herein by reference.
