On March 7, 2007, Saul Sokol gave notice of his intention to retire (and not seek re-election) as a director of Bancinsurance Corporation (the "Company") effective at the Annual Meeting of Shareholders of the Company on May 30, 2007. The retirement is not related to any disagreement between Saul Sokol and the Company on any matter.
