Item 1.01                                   Entry into a Material Definitive Agreement

 

On December 28, 2005, Evans & Sutherland Computer Corporation (“E&S”) entered into a Confidential Settlement Agreement and Mutual Release with Federal Insurance Company (“Federal”).

 

Under the Settlement Agreement, E&S will receive a payment of $8,000,000 and will agree to dismiss a lawsuit filed by E&S against Federal and to release Federal from all existing claims under insurance polices written by Federal in favor of E&S.
