Level Playing Field for All Participants

Reiterates Invitation for Eversource to Participate in Process on Same Terms as All Other Parties

Clinton, Conn., June 6, 2018 – Connecticut Water Service, Inc. (NASDAQ: CTWS) today issued the following statement:

We reiterate our invitation for Eversource to participate in the fair and open go-shop process that has been initiated by Connecticut Water and cease its pattern of seriously false statements that seem designed to interfere unfairly with the ability of Connecticut Water shareholders to receive the best possible transaction.

As previously announced, Connecticut Water and SJW Group (NYSE: SJW) have amended the terms of the companies’ merger agreement. The amended merger agreement, which was unanimously approved by the Board of Directors, includes a go-shop provision, pursuant to which Connecticut Water, with the assistance of its financial advisors, is actively soliciting proposals for an alternative merger, acquisition or other strategic transaction involving Connecticut Water. Connecticut Water has a right under the amended merger agreement to review and negotiate any alternative proposals received from third parties until 11:59 p.m. Eastern time on July 14, 2018.

Pursuant to the go-shop provision, Connecticut Water and its financial advisors have already begun soliciting third party indications of interest. As is typical in the first round of a go-shop process, indications of interest are to be submitted based on publicly available information as well as Connecticut Water’s financial projections. All of this information and more is contained within Connecticut Water’s public filings, including the 182-page proxy statement on file with the SEC, which are accessible to all bidders. Under the established process, those selected to participate in the second round will have access to management and receive additional confidential information.

Connecticut Water noted that the standard termination fee that would be payable to SJW Group in the event that Connecticut Water accepts an alternative proposal was established as part of the previously announced merger agreement and is not a barrier to any party participating in this process.

The Connecticut Water Board of Directors is committed to this process and to serving the best interests of all Connecticut Water shareholders. In this regard, the Board will consider any alternative proposal submitted, including from Eversource.

Wells Fargo Securities, LLC is serving as Connecticut Water’s financial advisor and Sullivan & Cromwell LLP as its legal counsel.
