Item 8.01          Other Events.

On March 5, 2007, DPL Inc. issued a press release announcing the hiring of Daniel J. McCabe as Vice President of Human Resources of DPL Inc. and The Dayton Power and Light Company.  Mr. McCabe will be responsible for performance management, employee development, succession planning, staffing and recruiting, labor relations, and compensation and benefit programs.  A copy of the press release is attached hereto as Exhibit 99.1.
