On July 28, 2006, the Company announced that its search for a CEO continues as a high priority, but it is not ready to announce a replacement.  While the search continues, James V. Mahoney, President and Chief Executive Officer, will remain in place.

On July 26, 2006, the Company issued a press release announcing that the Company’s preferred shareholders of record as of August 15, 2006 will receive a quarterly dividend payment payable on September 1, 2006 as follows:

$0.9375 per share on the 3.75% Series A, Cumulative

$0.9375 per share on the 3.75% Series B, Cumulative

$0.975 per share on the 3.90% Series C, Cumulative

DAYTON, Ohio, July 26, 2006 — (NYSE: DPL) The Board of Directors of The Dayton Power & Light Company declared quarterly dividends on The Dayton Power & Light Company preferred stocks as follows:

$0.9375 per share on the 3.75% Series A, Cumulative

$0.9375 per share on the 3.75% Series B, Cumulative

$0.975 per share on the 3.90% Series C, Cumulative

The preferred dividends are payable September 1, 2006 to holders of record on August 15, 2006.
