        <footnote id="F1">These shares were acquired pursuant to the Datascope Corp. Compensation Plan for Non-Employee Directors (the &quot;Plan&quot;). Mr. Altschiller elected to defer receipt of his annual fixed director compensation payable in shares of common stock until the first business day on or after the fifth anniversary of the date the compensation would otherwise be payable.  The deferred compensation shall be made in five annual installments beginning in 2004.  Due to administrative error, the installments scheduled from 2005 through 2007 were not distributed to Mr. Altschiller in a timely manner.  This Form 4 reports the total number of shares distributed to Mr. Altschiller for the period from 2005 through 2007.</footnote>
