Item 1.01  Entry into a Material Definitive Agreement

     On January 11, 2006 Dataram Corporation (the "Company") entered into a
new lease of its existing manufacturing and office space in Ivyland,
Pennsylvania.  The landlord is G.S. Developers, which is unaffiliated with
the Company, the Company's officers and the Company's directors.  This
lease is for a five-year term commencing February 1, 2006.
