     On June 14, 2005 Dataram Corporation adopted a new Code of Conduct and
Ethics covering Directors and Officers specified by Item 406 of
Registration S-K.  A second Code of Conduct and Ethics applying to all
other employees is publicly available on the Company's website,
www.dataram.com.
