filed within the prescribed time period.

The registrant is currently involved in a pending merger with a 
privately held company.  The preparation of the materials for the 
pending merger has taken substantial time and effort from the 
registrant's accounting and finance personnel.  Consequently, the 
registrant will be unable to complete its Form 10-Q for the period 
ending April 3, 1998 without unreasonable effort or expense prior to the 
due date.  The registrant undertakes to file its Form 10-Q for the 
period ending April 3, 1998 within 5 calendar days following the 
prescribed due date of May 18, 1998.
