Item 5.  Other Events.

On March 5, 2002, the Company issued the attached Press Release that indicated
the exploratory discussions between the Company and another company for a
possible merger had ended.  Both parties to the discussion decided against
entering into any merger of the two companies at this time.  There are no
present plans for re-opening these discussions.

                SMTEK ENDS EXPLORATORY MERGER DISCUSSIONS
                       No Merger Agreement Reached



THOUSAND OAKS, Calif. (March 5, 2002) - SMTEK International, Inc.
(Nasdaq: SMTI / Pacific Exchange: SMK), a provider of electronics
manufacturing services (EMS), announces today that SMTEK and Electronic
Product Integration Corporation ("EPI") have ended their exploratory
discussions relating to SMTEK's potential acquisition of EPI.  No
merger or other related agreements were reached during these
exploratory discussions.

Further, there are no plans, at present, for re-opening discussions
relating to SMTEK's potential acquisition of EPI.
