EXPLANATORY NOTE
     Argon ST, Inc. (the “Company”) filed a Registration Statement on Form S-8 (No. 333-119862) (the “Registration Statement”) with the Securities and Exchange Commission on October 20, 2004. On August 5, 2010, pursuant to that certain Agreement and Plan of Merger, dated as of June 30, 2010 by and among The Boeing Company, a Delaware corporation (“Parent”), Vortex Merger Sub, Inc., a Delaware corporation, and the Company, the Company became a wholly owned subsidiary of Parent. As a result of the transactions contemplated thereby, the Company has terminated all offerings of the Company’s securities pursuant to the Registration Statement.
     This Post-Effective Amendment to the Registration Statement is being filed to deregister, as of the effectiveness of this post-effective amendment, all unsold shares of common stock, par value $.01 per share, the sale of which was registered under the Registration Statement.
