Item 5.03 Amendment of Bylaws.

 

On December 7, 2010 the Registrant’s Board of Directors unanimously adopted Amended and Restated Bylaws.  Sections 8 and 9 under Article III are new and include procedures for the nominations and eligibility of persons to be a director.

 

The Bylaws are attached to Registrant’s Form 10-K as Exhibit 3.2 filed today.
