Item 1.01 Entry into a Material Definitive Agreement.

 

Cubic Corporation today received approval from the Department of Justice and Federal Trade Commission under the Hart Scott Rodino (HSR) Antitrust Improvements Act expressing no objection to Cubic’s Agreement and Plan of Merger with Abraxas Corporation and certain shareholders of Abraxas.  The signing of this agreement was first announced on November 15, 2010.
