This Schedule 14D-9 filing relates solely to preliminary communications made before the commencement of a planned tender offer (the “Offer”) by Athene Merger Sub, Inc. (“Merger Sub”), a wholly owned subsidiary of Athene Parent, Inc. (“Parent”), for all of the outstanding shares of common stock, par value $0.001 per share of TherapeuticsMD, Inc. (the “Company”), to be commenced pursuant to the Agreement and Plan of Merger, dated May 27, 2022, among the Company, Parent, and Merger Sub (the “Merger Agreement”). If successful, the Offer will be followed by a merger of Merger Sub with and into the Company (the “Merger”).
