Item 8.01 Other Events

Election of James L. L. Tullis as Chairman of the Board

On February 24, 2020, James L. L. Tullis, 72, a member of the Board of Directors (the “Board”) of Crane Co. (the “Company”) since 1998, was appointed to serve as the Chairman of the Board, effective upon the retirement of the current Chairman at the Company’s Annual Meeting of Stockholders on April 27, 2020 (the “Annual Meeting”). Mr. Tullis will continue to serve as chairman of the Management Organization and Compensation Committee, and a member of the Nominating and Governance Committee, pending the Annual Meeting.
