     On September 29, 2005, Countrywide Financial Corporation filed a prospectus supplement, dated September 27, 2005, under its Registration Statement on Form S-3 (333-114270 and 333-114270-01 and 333-114270-02 and 333-114270-03) relating to the offering of $500,000,000 aggregate principal amount of its Floating Rate Subordinated Notes due April 1, 2011 (the “Notes”). Exhibits are filed herewith in connection with the issuance of the Notes on September 30, 2005.
