Item 5. Resignation of Chief Financial Officer.

On January 19, 2001, Leonard G. Kuhr, Senior Vice President and
Chief Financial Officer of TruServ Corporation, tendered his
resignation, effective February 28, 2001.  Mr. Kuhr announced
that he will return to the healthcare industry, where he will
assume the position of Chief Operating Officer and Chief
Financial Officer of a newly-formed organization.
