The Cooper Tire & Rubber Company Spectrum Investment Savings Plan (formerly the Thrift and Profit Sharing Plan) (the “Registrant”) is unable to timely file its Form 11-K for the period ended December 31, 2015 (the “2015 11-K”) due to unanticipated delays in finalizing the Registrant’s financial statements (including the requirement to finalize the external audit work necessary for inclusion of the financial statements in the 2015 11-K). As a result, the Registrant is unable to complete the 2015 11-K in a timely manner without unreasonable effort or expense.
