ITEM 8.01 OTHER EVENTS.

On April 4, 2008, Consolidated Edison Company of New York, Inc. (“Con Edison of New York”) completed, pursuant to an underwriting agreement with BNY Capital Markets, Inc., Greenwich Capital Markets, Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives for the underwriters named therein, the sale of $600 million aggregate principal amount of Con Edison of New York’s 5.85% Debentures, Series 2008 A ( the “Series 2008 A Debentures”) and $600 million aggregate principal amount of Con Edison of New York’s 6.75% Debentures, Series 2008 B (the “Series 2008 B Debentures,” and together with the Series 2008 A Debentures, the “Debentures”). The Debentures were registered under the Securities Act of 1933 pursuant to a Registration Statement on Form S-3 (No. 333-136268, effective August 3, 2006) with the prospectus contained therein relating to an indeterminate aggregate principal amount of Con Edison of New York’s unsecured debt securities.
