ITEM 8.01. OTHER EVENTS

On June 15, 2006, Consolidated Edison Company of New York, Inc. (the “Company”) completed, pursuant to an underwriting agreement with Barclays Capital Inc. BNY Capital Markets, Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives for the underwriters named therein, the sale of $400 million aggregate principal amount of the Company’s 6.20% Debentures, Series 2006 B due 2036 (the “Debentures”). The Debentures were registered under the Securities Act of 1933 pursuant to a Registration Statement on Form S-3 (No. 333-123780, declared effective May 10, 2005) with the prospectus contained therein relating to $2.15 billion aggregate principal amount of unsecured debt securities of the Company.
