ITEM 8.01. OTHER EVENTS

 

On March 7, 2005, Consolidated Edison Company of New York, Inc. (the “Company”) entered into an underwriting agreement with Citigroup Global Markets Inc., J.P. Morgan Securities Inc. and Wachovia Capital Markets, LLC, as representatives for the underwriters named therein for the sale of $350 million aggregate principal amount of the Company’s 5.30% Debentures, Series 2005 A due 2035 (the “Debentures”). The Debentures were registered under the Securities Act of 1933 pursuant to Registration Statement on Form S-3 (No. 333-114393, declared effective April 22, 2004) with the prospectus contained therein relating to $825,000,000 aggregate principal amount of unsecured debt securities of the Company.
