ITEM 8.01OTHER EVENTS

On June 3, 2021, Consolidated Edison Company of New York, Inc. (“CECONY”) entered into an underwriting agreement with Barclays Capital Inc., BofA Securities, Inc., J.P. Morgan Securities LLC and Wells Fargo Securities, LLC, as representatives of the underwriters named therein, for the sale of $750 million aggregate principal amount of CECONY’s 2.40% Debentures, Series 2021 A (the “2021 A Debentures”) and $750 million aggregate principal amount of CECONY’s 3.60% Debentures, Series 2021 B (the “2021 B Debentures,” and together with the 2021 A Debentures, the “Debentures”). The Debentures were registered under the Securities Act of 1933 pursuant to a Registration Statement on Form S-3 (No. 333-226539, effective August 2, 2018).
