(the "Company") entered into an underwriting agreement with Salomon Smith Barney Inc., as representative for the underwriters named therein, for the sale of $300 million aggregate principal amount of the Company's 5.625% Debentures, Series 2002 A (the "Debentures"). The Debentures were registered under the Securities Act of 1933 (the "Act") pursuant to Registration Statements on Form S-3 (Nos. 333-50236, 333-61008, 333-90788 and 333-90790) collectively relating to $300 million aggregate principal amount of unsecured debt securities.
