Item 7.01 Regulation FD Disclosure.

On July 27, 2010, members of senior management of ConAgra Foods, Inc. (the "Company") will meet with members of the investment community. The Company expects to affirm its previously announced guidance that it expects fiscal 2011 full-year diluted earnings per share ("EPS") to grow 8 to 10% from fiscal 2010 diluted EPS, adjusted for items impacting comparability. At its meetings with members of the investment community this week, senior management is also expected to affirm previously issued guidance of long-term annual sales growth of 3 to 4% over the long term; long-term annual earnings per share growth, adjusted for items impacting comparability, of 8 to 10%; and long-term return on invested capital, excluding items impacting comparability, approaching 13 to 14% over long term.

Diluted earnings per share, long-term earnings per share growth and return on invested capital guidance discussed in this Form 8-K is adjusted for items impacting comparability. The inability to predict the timing and amoun t of future items impacting comparability makes a detailed reconciliation of earnings per share growth and return on invested capital impracticable. Management believes these non-GAAP financial measures provide a useful tool for investors in examining the Company’s expected operational results for the year and facilitate year-to-year comparisons.
