COMTECH TELECOMMUNICATIONS CORP. ANNOUNCES

PROPOSED $200.0 MILLION CONVERTIBLE SENIOR NOTES OFFERING

 

Melville, New York, May 4, 2009 — Comtech Telecommunications Corp. (Nasdaq: CMTL) (the “Company” or “Comtech”) announced today that it intends to offer, subject to market and other conditions, $200.0 million aggregate principal amount of Convertible Senior Notes due 2029 in a private placement to “qualified institutional buyers” pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). Comtech intends to grant the initial purchasers of the notes an option to purchase up to an additional $30.0 million aggregate principal amount of the notes. The notes will be convertible into shares of Comtech’s common stock. The exact timing and terms of the offering will depend on market conditions and other factors.

 

The notes will be senior unsecured obligations of Comtech. Comtech intends to use the net proceeds of the offering to fund its acquisition strategy and for general corporate purposes.
