Effective November 1, 2007, the Registrant's Board of Directors has elected Judith R. Haberkorn as a director and appointed her as a member of the Compensation Committee.
 
 
 
Item 5.03.
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
 
Effective November 1, 2007, the Registrant's Board of Directors has amended the first sentence of Article III, Section 1 of the Bylaws to increase the authorized number of directors from eight to nine.  As so amended, this sentence will read in its entirety as follows:
 
 
“The exact number of directors that shall constitute the authorized number of members of the Board shall be nine (9), all of whom shall be at least 18 years of age.”
