Entry into a Material Definitive Agreement
Item 1.02.
Termination of a Material Definitive Agreement
 
On June 25, 2007, the Registrant entered into a $1 billion Credit Agreement to provide bridge financing for its acquisition of Covansys Corporation.  On July 12, 2007, the Registrant replaced its $1 billion commercial paper backstop Credit Agreement with a $1.5 billion Credit Agreement.  Copies of the two new Credit Agreements are attached as exhibits hereto.
