Item 5.03.	Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
The Registrant has amended its Bylaws, effective July 31, 2006, to reduce the authorized number of directors from eight to seven. A copy of the Bylaws, restated to reflect this amendment, is attached as Exhibit 3.3 hereto.
