Item 5.02     Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

          On February 7, 2007, the Company entered into a definitive agreement with Barbara Moss, Chief Financial Officer of the Company, which provides for a severance payment of $75,000 at separation of employment as well as reimbursement of up to $5,000 of relocation expenses.
