Item 1.01.   Entry into a Material Definitive Agreement.
     As previously disclosed in the Form 8-K on January 9, 2008, on January 4, 2008, Comprehensive Care Corporation (“CompCare”) appointed John M. Hill, age 57, as the Company’s President and Chief Executive Officer. On July 3, 2008, CompCare entered into a 36-month employment agreement (“Employment Agreement”) with John M. Hill, commencing January 14, 2008. A copy of the Employment Agreement is attached hereto as Exhibit 10.1.
