The Offer is being made pursuant to an Agreement and Plan of Merger dated as of September 18, 1998, among the Company, Parent and Deneb Corporation, a wholly- owned subsidiary of Parent. Marafino and Allen E. Murray as Directors of Parent. Messrs. Marafino and Murray retired from their positions as Directors of Parent following Parent's Annual Meeting of Stockholders held on April 22, 1999.
