On May 13, 2004, Exelon Corporation (Exelon) filed a Form 8-K containing as Exhibit 99 the slides and handouts to be used by Robert S. Shapard, Executive Vice President and CFO of Exelon, at the Goldman Sachs Fourth Annual Power and Utility Conference. Page 12 of the slides and handouts, entitled “Exelon 2004 Financial Scorecard,” has been amended via Exhibit 99 in this Form 8-K/A to present 2004 target/estimated divestitures/sales as $375 million rather than the $600 million presented in the previously filed Form 8-K.

This combined Form 8-K/A is being furnished separately by Exelon, Commonwealth Edison Company (ComEd), PECO Energy Company (PECO) and Exelon Generation Company, LLC (Generation) (Registrants).
