Section 5 – Corporate Governance and Management

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective November 1, 2021, Ricardo Estrada was elected to the Board of Directors of Commonwealth Edison Company (“ComEd”). Mr. Estrada shall serve until the next annual meeting of shareholders, when the majority shareholder of ComEd elects directors as provided for under Section 7.10(a) of the Illinois Business Corporation Act. Mr. Estrada will receive ComEd’s standard compensation for its directors as disclosed in its annual Information Statement pursuant to Section 14(c) of the Securities Exchange Act of 1934.

On October 14, 2021, ComEd announced that Gil Quiniones was appointed as its Chief Executive Officer effective November 15, 2021. On November 1, Mr. Quiniones was also elected to the ComEd board, effective as of November 15, 2021.
