Item 2.02. Results of Operations and Financial Condition.

On April 30, 2007 Comarco, Inc. (the “Company”) issued a press release announcing, among other things, its financial results for the fourth quarter and full fiscal year 2007, which ended on January 31, 2007. In addition, on April 30, 2007, the Company held a conference call and webcast to discuss the Company’s fourth quarter and annual results for fiscal year 2007, outlook for fiscal 2008 and current corporate developments. The press release and transcript of the conference call and webcast are incorporated herein to this Form 8-K by reference and copies of the press release and transcript are attached hereto as Exhibits 99.1 and 99.2.
