Gentlemen:

             This amends the Interim Report under Rule 24 which was filed on
June 27, 1994 in its entirety.

             In accordance with the terms and conditions of Rule 24 under the
Public Utility Holding Company Act of 1935, and the Orders of the Commission
dated January 21, 1994 and February 25, 1994 (the "Order") authorizing
transactions as more fully described in the Application-Declaration as amended
(the "Application"), the undersigned hereby certifies that during the period
from January 1, 1994 through March 31, 1994, CLG purchased one share of common
stock in its subsidiary CLNG Corporation (a CLG subsidiary as defined in the
Application-Declaration) for a purchase price of $1,000.00.
