Gentlemen:

                 In compliance with the terms and conditions of Rule 24 under
the Public Utility Holding Company Act of 1935, and the Order of the Commission
dated December 22, 1994 authorizing the financing transactions as more fully
described in the Joint Application-Declaration, as amended (the "Application"),
the undersigned hereby reports to the Commission that the recapitalizations of
Columbia Gulf Transmission Company ("CGT"), Columbia Gas Development
Corporation ("CGD") and Columbia Coal Gasification Corporation ("CGC") were
carried out on December 29, 1994.

                 CGT (i) issued installment promissory notes ("Installment
Notes") of $67,000,000 to Columbia for cash, (ii) reduced the par value of its
common stock from $25 per share to $10 per share and (iii) paid a dividend to
Columbia of $67,000,000 out of surplus.

                 Columbia made a capital contribution of $62,000,000 of
Installment Notes previously issued by CGD and held by Columbia.

                 Columbia made a capital contribution of $12,000,000 of
Installment Promissory Notes previously issued by CGC and held by Columbia.

                 The undersigned further certifies that the above-mentioned
financing transactions were carried out in accordance with the terms and
conditions of, and for the purposes represented by, the Application, and the
Order of the Commission with respect thereto.
