     Due to recent changes in and a restructuring of the computer system of RELM
Communications, Inc. ("RELM"), a principal subsidiary of the Registrant, the
Registrant is unable at this time, without unreasonable effort or expense, to
include the financial information of RELM in its consolidated financial
statements. The Registrant intends to file the Form 10-Q on or before
May 20, 1997
